Relio Partner Program Terms

These Partner Program Terms (the "Terms") are a binding agreement between Abex Group LLC, a Wyoming (USA) limited liability company (the "Company", "we", "us"), and the person or entity applying to the Relio Partner Program (the "Partner", "you"). By checking the acceptance box and submitting your application you agree to these Terms. If you do not agree, do not apply.

1. The Program

The Company operates Relio, an AI sales assistant for e-commerce stores available at relio.chat and through app marketplaces. The Program lets you refer merchants ("Referred Customers") to Relio using your unique referral link and code, in exchange for the commissions described below.

2. Referral links and attribution

You will receive a unique referral code and links of the form https://relio.chat/?ref=YOUR-CODE. A visitor who arrives through your link is tracked with a cookie valid for 60 days. A merchant becomes your Referred Customer when their Relio account is created while that cookie is present, when they enter your referral code during onboarding, or when a merchant you add in your dashboard is verified. Attribution is last-click, is fixed at account creation, and is not transferable. Where more than one partner claims the same merchant, the earliest verified attribution prevails and the Company's determination is final.

For merchants installing Relio from an app marketplace (for example the Shopify App Store), attribution depends on the merchant reaching relio.chat through your link first or entering your code. Sending merchants directly to a marketplace listing may result in no attribution.

3. Commissions

For each Referred Customer you earn a commission on the amounts the Company actually collects from that customer for Relio subscriptions, net of taxes, refunds, chargebacks and payment-processor adjustments:

No commission is earned on free plans, trials, promotional credits, amounts that are refunded or disputed, marketplace fees, one-time services, or on any payment made by you or an entity you control. The Company may change the rates for future periods with 30 days' notice in your dashboard; changes never apply retroactively to amounts already earned.

4. Holding period, payouts and taxes

Commissions become payable 30 days after the underlying payment is collected (the "holding period"), to allow for refunds and chargebacks. If a payment is refunded, disputed or reversed, the related commission is cancelled or, if already paid, deducted from your next payout.

Payouts are made monthly for payable commissions once your balance reaches USD 50; smaller balances carry forward. Payouts are made exclusively through Stripe Connect to the account you set up in your dashboard. You are responsible for completing Stripe's onboarding, for the accuracy of the information you provide there, and for any taxes, filings or declarations that apply to income you receive from the Program in your country. The Company does not withhold taxes unless required by law.

5. Your obligations

You agree that you will not: (a) bid on or use the "Relio" name, the Company's trademarks or misspellings of them in paid search or any advertising; (b) send unsolicited messages (spam) or place links in misleading, deceptive or unlawful contexts; (c) make promises, claims or guarantees about Relio that the Company has not published; (d) refer yourself, your own businesses, or use artificial clicks, accounts or payments ("self-referral"); (e) offer unauthorized coupons, cash-backs or incentives; (f) alter the Company's brand materials; or (g) claim merchants you did not genuinely refer. You will comply with all laws and platform rules that apply to your promotion, including disclosing that you earn a commission where required.

6. Data and privacy

You and the Company are independent controllers of the personal data each of you processes. The Company will not share Referred Customers' personal data with you; your dashboard shows aggregated and status information only. Each party will comply with applicable data-protection law.

7. Term, suspension and termination

These Terms apply from acceptance for an indefinite period. Either party may terminate at any time with notice by email; earned and payable commissions will still be paid. The Company may suspend or terminate your participation immediately, and cancel any unpaid commissions that resulted from the breach, if you breach Section 5, provide false information, or engage in fraud or abuse. On termination your referral links are deactivated and no further commissions accrue.

8. Liability

The Program is provided "as is". To the fullest extent permitted by law, the Company's total liability to you under these Terms is limited to the commissions payable to you and unpaid at the time of the claim. Neither party is liable for indirect, incidental or consequential damages. You are an independent contractor, not an employee, agent or representative of the Company, and you may not make commitments on the Company's behalf.

9. General

Your electronic acceptance of these Terms (recorded with the version, a cryptographic fingerprint of this text, the time, your IP address and your account email) constitutes a valid agreement between the parties. The Company may publish a new version of these Terms; continued participation after accepting the new version in your dashboard constitutes agreement. These Terms are governed by the laws of the State of Wyoming, USA, and any dispute will be brought in the courts of Wyoming. If any provision is unenforceable, the remainder stays in effect.
